Welcome to Circle Resident App! Circle Resident App is the expert-side mobile application to be used by the pre-approved Circle Residents to manage availability, receive chat/audio/video requests, interact with users, track earnings, manage profile details, and provide services through Circle By CRED App.
Please read these terms and conditions carefully before using the Circle Resident App. If you do not agree to these Terms of Use or do not wish to be bound by these Terms of Use, you may not use the Circle Resident App, access or provide any of the services via the Circle Resident App, and should uninstall the Circle Resident App.
These terms and conditions are a legal contract ('Terms of Use') between You (the 'Circle Resident') and Dreamplug Technologies Private Limited ('DTPL'), having its corporate office at CRED, No. 769 and 770, 100 Feet Road, 12th Main, HAL 2nd Stage, Indiranagar, Bangalore 560038.

1. Eligibility and Onboarding

Access to the Circle Resident App is available only to individuals who have been pre-approved, verified, onboarded, or whitelisted by DTPL as Circle Residents to provide services to the users ('Users') of the digital marketplace and technological aggregator platform known as Circle and offered to the users via the Circle By CRED App (the 'Platform').
By using the Circle Resident App, you represent and warrant that:
  • you are at least 18 years old;
  • you are capable of entering into a legally binding agreement;
  • all information, documents, credentials, licenses, certifications, tax details, and bank details provided by you to DTPL are true, accurate, current, and complete;
  • you have the necessary skill, experience, qualifications, permissions, and legal ability to provide the services you offer on Circle by CRED App;
  • you are not barred under applicable law from using Circle Resident App or providing services through Circle;
  • you will comply with all applicable laws, professional standards, platform policies, and these Terms; and
  • You have been pre-approved by DTPL and have entered into a binding Expert Onboarding Agreement ('EOA') with DTPL which is present and subsisting.
DTPL reserves the right to approve, reject, suspend, deactivate, or remove any Resident from Circle at its sole discretion, subject to applicable law and contractual commitments.

2. Nature of Platform and the CRED Residents App

  • DTPL's Role: DTPL's role is limited to providing platform infrastructure, including: Resident onboarding and access management; user discovery and request routing; chat, audio, video, file-sharing, and session tools; availability and queue management; billing, wallet deduction, invoicing, and payout support; safety, moderation, analytics, support, and dispute resolution tools. Provided however, DTPL does not guarantee provision of each of these services or features at all times and may at its discretion vary the features and tools made available on the CRED Resident App.
  • Independent Service Provider / Direct Service Offering to the Users: You acknowledge and agree that you are an independent third-party service provider using the Circle Resident App and the Platform as a technology platform to connect with Users. Once the session is initiated, the actual consultation service will be provided by you directly to the respective Users. DTPL will merely be facilitating the technological connection, and shall not be liable for the consultation services provided by You.
  • Aggregator and Marketplace Role: You explicitly acknowledge and agree that the Platform operates strictly as a digital marketplace and technological aggregator platform allowing you to connect with the Users to provide your services directly to the Users. Nothing in these Terms of Use or the EOA creates an employer-employee relationship, agency, partnership, franchise, joint venture, or representative relationship between you and DTPL.
  • No Endorsement or Warranty: While DTPL has implemented certain onboarding criteria or categorization for the Circle Residents, DTPL does NOT endorse Your professional qualifications, credentials, expertise, advice, statements, or opinions provided by You to any User.
  • No Special Relationship: Nothing in these Terms of Use creates an employer-employee relationship, agency, partnership, franchise, joint venture, or representative relationship between you and DTPL. You are not authorized to: (i) represent yourself as an employee, agent, partner, or representative of DTPL or CRED; (ii) bind DTPL to any obligation; (iii) make any promises, guarantees, warranties, or commitments on behalf of DTPL; or (iv) use CRED or Circle By branding except as expressly permitted in writing.
  • No Professional Liability: You agree and acknowledge that DTPL shall not bear any form of liability (whether tortious, contractual or in any other manner) for any claims arising from or in respect of the services provided by you or your conduct.
  • No Guarantee of Availability or Business: You explicitly acknowledge and agree that DTPL does not guarantee any minimum number of users, sessions, requests, earnings, visibility, ranking, or continued access to the Platform.

4. Resident Account and Login

You may access the Circle Resident App only using the mobile number, OTP, credentials, or authentication mechanism approved by DTPL. You are responsible for maintaining the confidentiality and security of your device, account, OTPs, login credentials, and access credentials.
You must not:
  • share your account access with any other person;
  • allow any other person to attend sessions on your behalf;
  • impersonate another Circle Resident;
  • use another Circle Resident's account;
  • create duplicate or unauthorized accounts.
DTPL may suspend or terminate your access if it suspects unauthorized access, account sharing, impersonation, fraud, misuse, or security risk.

5. Services Provided by Residents

As a Resident, you may provide guidance, informational conversations, coaching, mentoring, or other services in categories such as money, career, health and wellness, relationships, lifestyle, or other topics enabled by the Platform.
You agree that:
  • you will provide services with reasonable care, skill, professionalism, and sensitivity;
  • you will not provide advice beyond your actual qualifications, experience, or lawful permissions;
  • you will not misrepresent your expertise, credentials, achievements, or professional status;
  • you will not guarantee specific outcomes to users;
  • you will clearly communicate limitations where a topic requires regulated professional advice;
  • you will comply with all applicable laws, professional codes, and ethical standards.
No Regulated Advice
Unless you are specifically qualified, licensed, and legally permitted to do so, you must not provide regulated professional advice. In particular: (i) You must not provide medical diagnosis, prescription, psychiatric treatment, emergency care, or clinical advice when providing services through the Circle Resident App regardless of whether you are licensed to do so otherwise; and (ii) You must not provide regulated investment advice, portfolio management, stock recommendations, legal advice, tax advice, SEBI-regulated investment advisory services or any other finance related services other than educational services regardless of whether you are legally authorized to do so.

6. Availability, Status, and Session Requests

The Circle Resident App may allow you to manage your status as online, offline, busy, on break, or otherwise available.
You agree that:
  • when you mark yourself online, you may receive paid chat, audio, or video requests from users;
  • you should respond to user requests promptly and professionally;
  • you should not remain online if you are unable or unwilling to accept requests;
  • you should not repeatedly ignore, decline, or abandon requests without reasonable cause;
  • you should manage your queue responsibly;
  • you should use break/offline controls accurately.
DTPL may monitor response rates, acceptance rates, missed requests, session quality, user complaints, ratings, and other performance indicators.
DTPL may modify your visibility, ranking, access, or availability if your platform behavior affects user experience, safety, reliability, or marketplace quality.

7. Committed Time and Schedule

Circle Resident App may allow you to define committed or expected availability hours on the Platform.
Committed time is a planning and visibility tool. It does not automatically make you online or offline unless specifically enabled by the platform.
You agree to use committed time honestly and keep it updated. DTPL may use committed time to inform users about likely availability, measure schedule adherence, send reminders, or evaluate platform reliability.
Failure to honor committed time repeatedly may affect your ranking, visibility, incentives, payout eligibility, or continued access to the Platform.

8. Sessions, Chats, Calls, and File Sharing

Circle Resident App and the Platform may enable you to interact with users through text chat, audio calls, video calls, voice notes, file sharing, and other formats.
During sessions, you agree to:
  • maintain a professional and respectful tone;
  • provide relevant and lawful guidance;
  • not request unnecessary sensitive personal information;
  • not ask users for passwords, OTPs, PINs, CVVs, bank credentials, card details, or other confidential credentials;
  • not pressure users into any transaction outside Circle;
  • not redirect users to external communication channels unless expressly permitted;
  • not exploit user vulnerability, emotional distress, or financial concerns;
  • not solicit users for personal, romantic, sexual, political, religious, or unrelated purposes.
Users may share files, documents, images, audio, video, or other materials with you. You may access such materials only for providing services through Circle and must handle them confidentially.
You agree and acknowledge that all user information is confidential. You agree that you shall not:
  • download, copy, screenshot, record, store, publish, forward, sell, or disclose user data outside Circle;
  • share user information with any third party;
  • use user information for any purpose other than providing services through Circle;
  • contact users outside Circle without express platform permission;
  • request or capture users' phone numbers, email addresses, social media handles, payment details, or other direct contact details;
  • use user data for marketing, solicitation, personal gain, research, training, or portfolio purposes unless expressly authorized by DTPL and the user;
  • allow another person to view, hear, or access user sessions or user information.
You must ensure that your physical environment is private during audio/video sessions and that no unauthorized person can overhear, observe, or access user conversations.
Violation of this section may result in immediate termination, withholding of payouts where legally permissible, legal action, and reporting to authorities where applicable.
You acknowledge and agree that Circle may record, store, review, transcribe, summarize, moderate, or analyze sessions, chats, files, audio, and video for purposes including: (i) safety; (ii) dispute resolution; (iii) quality assurance; (iv) fraud and abuse prevention; (v) customer support; (vi) platform upgradation / improvement; (vii) AI-generated summaries and operational analytics.
You must not independently record, download, reproduce, or distribute any session unless expressly permitted in writing by DTPL and the user.

9. Prohibited Conduct

  • Zero Tolerance Policy: While using the Circle Resident App, You must not engage in any conduct that is unlawful, unsafe, abusive, exploitative, discriminatory, or share any objectionable material. Any User can report objectionable content and abusive CRED Residents (if any). Similarly, You may report any objectionable content or abusive behaviour by any User. CRED Residents or any Users found to be sharing objectionable content or engaging in abusive behaviour may be subject to immediate suspension or termination from the platform and possible referral to law enforcement as set out below.
  • Auto-Termination: The Circle Resident App may employ automated technical monitoring and safety systems. DTPL may automatically terminate any active session or conversation that is detected to be in violation of these Terms of Use or the standard expected on the Platform.
  • Reporting and Termination: You have the right to immediately end the conversation if you encounter prohibited content or behavior and make a formal report through the in-app reporting tools. Similarly, Users also have the ability to report your behaviour if found objectionable. If You are found responsible for engaging in, or repeatedly attempting to engage in, any prohibited behaviors, your access to the CRED Resident App may be suspended or terminated.
  • Law Enforcement / Government Authority Referral: DTPL reserves the absolute right to report Your behavior and share session data/transcripts with law enforcement authorities or regulatory authorities if the conduct violates any laws or regulations.

10. Billing

DTPL shall display to the Users the per-minute rates agreed to be charged by you and any discounts offered by you and / or DTPL in accordance with the EOA. A summary of your fee earnings as well as fees payable by you may be made available through the DTPL Resident App.

11. Disclaimers

  • 'As-Is' and 'As-Available' Services: The Circle Resident App, its features, and the aggregator service are provided on an 'as-is' and 'as-available' basis. DTPL makes no representations or warranties of any kind, express or implied, as to the operation of the app, its software, or the information, content, or materials included therein.
  • No Warranty of Error-Free Operation: To the maximum extent permitted by law, DTPL disclaims all warranties, express or implied. DTPL does not warrant that the Circle Resident App, its servers, its communication infrastructure (for text, voice, or video), or the files sent through the platform are free of errors, bugs, interruptions, delays, computer viruses, or other harmful components.
  • Aggregator Connection Disclaimer: DTPL is only connecting the You to the Users. DTPL explicitly disclaims any and all liability for the consultation services, advice, outcomes, or opinions provided by You. DTPL shall not be liable for any direct, indirect, incidental, special, or consequential damages resulting from your interactions with the Users.

12. Limitation of Liability and Indemnification

  • Limitation of Liability: To the maximum extent permitted by applicable Indian law, DTPL, its directors, employees, or affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, personal injury, or property damage arising out of or in connection with Your use of the Circle Resident App. In no event shall DTPL's total aggregate liability to You exceed the total Platform Fee charged by DTPL to You in the thirty (30) days immediately preceding the event giving rise to the claim.
  • Indemnity: You agree to defend, indemnify, and hold harmless DTPL, and its officers from and against any claims, liabilities, losses, damages, costs, or expenses (including legal fees) arising out of your violation of these Terms of Use, your misuse of the platform, your uploaded files, or your infringement of any third-party rights.

13. Variation of Terms, Suspension, and Restriction of Access

  • Variation of Terms of Use: DTPL reserves the right, at its sole discretion, to modify, update, or replace any part of these Terms of Use at any time. Any changes will be posted on the app, and your continued use of the platform after such updates constitutes your acceptance of the revised Terms.
  • Suspension due to Misuse: If any person is found using the platform in a disingenuous manner, attempting to game the promotional system, circumventing the platform, or violating these Terms of Use in any way, DTPL reserves the right to temporarily or permanently prohibit any such person from accessing Circle Resident App.
  • User Complaints: DTPL further reserves the right to restrict or terminate Your access to the platform if we receive complaints or negative feedback about your behavior from one or more Users.
  • Automatic Termination on Termination of EOA: Your right to use the Circle Resident App shall lapse automatically if your EOA expires or is terminated for any reason.

14. Governing Law, Dispute Resolution, and Jurisdiction

  • Governing Law: These Terms of Use shall be governed by and construed in accordance with the laws of India.
  • Dispute Resolution (Arbitration): Any dispute, controversy, or claim arising out of or in connection with these Terms of Use, including any question regarding its existence, validity, interpretation, performance, or termination, shall be referred to and finally resolved by binding arbitration. The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties. Failing mutual agreement on the appointment of the sole arbitrator within thirty (30) days from the date of a written notice initiating dispute resolution, the sole arbitrator shall be appointed in accordance with the provisions of the Arbitration and Conciliation Act, 1996 (as amended from time to time). The seat and venue of the arbitration shall be Bengaluru, Karnataka, India. The language of the arbitration shall be English.
  • Jurisdiction: Subject to the arbitration clause above, the courts located in Bengaluru, Karnataka, India shall have exclusive jurisdiction to settle any disputes or claims arising out of or in connection with these Terms of Use.
